PROMOTING THE EVENT:
- Upon approval of the Event, Goodwill Houston, upon request, will provide you with a copy of its logo(s) for use solely in connection with your marketing materials for the Event. You may not alter or modify any such logo without written permission from Goodwill Houston.
- Goodwill Houston must pre-approve all marketing materials with their name or logo(s) on them before they can be used.
- You may not list Goodwill Houston as a sponsor of the Event.
- You can list Goodwill Houston as the beneficiary of the Event (e.g., “all proceeds to benefit the Goodwill Houston”)
- You are responsible for marketing and promoting the Event. While Goodwill Houston cannot actively market or promote the Event, Goodwill Houston may, in its sole discretion, mention the Event to Goodwill Houston members through, without limitation, Goodwill Houston’s website, newsletters, social media accounts, etc.
- Goodwill Houston cannot provide you with mailing lists (e.g., for volunteers or donors) and cannot distribute any materials on behalf of the Event, solicit donations, or collect money on behalf of the Event.
- Goodwill Houston cannot guarantee that any of its staff, Board Members, or volunteers will attend the Event
EXPENSES FOR THE EVENT:
- All costs and expenses related to the Event are solely your responsibility.
- Unless otherwise agreed in writing, Goodwill Houston will not reimburse you for any expenses related to the Event, and you may not charge anything for the Event to Goodwill Houston.
- Goodwill Houston cannot provide you with its tax-exempt number/letter for purchases for the Event.
PROCEEDS FROM THE EVENT:
- All accounting related to the Event is solely your responsibility.
- You may not establish a bank account or other financial transaction account in the name of Goodwill Houston or any of its related organizations.
- For donations made directly to Goodwill Houston, please provide individual donor and donation information (including donor name, address, date, and amount of donation) so that Goodwill Houston may provide donor acknowledgement letters as may be required by law.
- Goodwill Houston must be notified before seeking donations/support from any third-party businesses or organizations to ensure that fundraising efforts do not overlap.
- Please submit all donations and proceeds from the Event to Goodwill Houston within thirty (30) days of the Event.
- Goodwill Houston reserves the right to audit your books and records related to the Event for up to one year from the Event.

INSURANCE AND LIABILITY FOR THE EVENT:
- You are solely responsible for obtaining insurance coverage for the Event.
- If the Event is a sporting event (e.g., marathon, race, ball game, etc.), you must require all participants to sign a liability waiver that expressly waives any claim against Goodwill Houston.
- You are solely responsible for obtaining any and all permits required in connection with the Event.
- You agree to indemnify, defend and hold harmless Goodwill Houston, including its directors, officers, employees, agents and volunteers, from and against any and all suits, claims, demands, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating in any way to you, your business, your organization, and the fundraising activities authorized hereunder.
- YOU UNDERSTAND AND AGREE THAT GOODWILL HOUSTON WILL NOT BE HELD LIABLE, DIRECTLY OR INDIRECTLY, IN CONNECTION WITH THE EVENT.
This Agreement is effective as of the latter of the two signature dates below and will remain in effect until one (1) year following the Event unless otherwise terminated.
Either party may terminate this Agreement at its convenience.
In the event of termination, all funds and items collected under this Agreement must be remitted as specified above, and any terms in the Agreement which by their nature should survive termination will survive.
This Agreement and the related Event Form constitute the entire agreement and understanding between the parties concerning the subject matter herein and therein.
Any amendment or other modification to this Agreement must be in writing and signed by both parties.
This Agreement is binding on and shall inure to the benefit of the parties hereto and their respective successors and assigns. Any dispute related to this Agreement will be governed by and construed in accordance with the laws of the State of Texas without giving effect to any choice or conflict of law provision. The parties agree to submit to the jurisdiction of the federal and state courts located in Harris County, TX.
This Agreement may be executed in counterparts, each of which shall be deemed an original, but which together shall be deemed one and the same agreement.
A signed copy of this Agreement delivered by e-mail or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original signed copy of the Agreement.
